Please read these Terms of Service (“Terms”, “Terms of Service”) carefully before using the Wageasy mobile application (the “Service”) operated by Wageasy LLC (“us”, “we”, or “our”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms of Service:

  • Account means a unique account created for You to access our Service or parts of our Service.
  • Company (referred to as either “the Company”, “We”, “Us” or “Our” in this Agreement) refers to Wageasy LLC.
  • Content refers to content such as text, images, invoices, financial data, or other information that can be posted, uploaded, linked to or otherwise made available by You, regardless of the form of that content.
  • Country refers to: California, United States
  • Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.
  • Feedback means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.
  • Service refers to the Wageasy mobile application.
  • Terms of Service (also referred as “Terms”) mean these Terms of Service that form the entire agreement between You and the Company regarding the use of the Service.
  • Third-party Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.
  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Accounts

Account Creation

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You may create an account using:

  • Email and password
  • Google OAuth authentication
  • Apple Sign-In (iOS only)
  • Other supported OAuth providers

Account Security

You are responsible for safeguarding the password or authentication credentials you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a Third-Party Service.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Account Deletion

You may delete your account at any time through the app settings or by contacting privacy@wageasy.notchip.com. Upon deletion:

  • Your account will be deactivated immediately
  • Your data will be permanently deleted within 30 days
  • Some information may be retained as required by law (tax records, transaction history for compliance)

Subscriptions and Payments

Subscription Plans

Some parts of the Service may be billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

Free Trial

We may offer a free trial for new users. You may be required to enter your billing information to access the free trial. If you do enter your billing information when signing up for the free trial, you will not be charged until the free trial has expired.

Payment Methods

We accept various payment methods including credit cards, debit cards, and other payment services. You agree to provide current, complete and accurate purchase and account information for all purchases made via the Service.

Refunds

Except when required by law, paid Subscription fees are non-refundable. If you believe you have been incorrectly charged, please contact support@wageasy.notchip.com within 30 days of the charge.

Content

Your Content

Our Service allows you to create, post, store, and share content, including invoices, client information, financial data, and business records (“Your Content”). You retain all rights in, and are solely responsible for, Your Content that you post, upload, or otherwise make available through the Service.

By posting Your Content on the Service, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service for the purpose of providing the Service to you.

Prohibited Uses

You agree not to use the Service:

  • In any way that violates any applicable national or international law or regulation
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
  • In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Service

Data Security

We implement reasonable security measures to protect Your Content. However, you acknowledge that:

  • No security system is impenetrable
  • You should maintain your own backups of important data
  • We are not responsible for unauthorized access that occurs despite our security measures

Intellectual Property

Service Ownership

The Service and its original content (excluding Your Content), features and functionality are and will remain the exclusive property of Wageasy LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

AI-Generated Content

Content generated by our AI features remains your property. However, by using AI features, you grant us permission to use anonymized data from your invoices and business information to improve our AI algorithms and services.

Trademarks

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Wageasy LLC.

Third-Party Services

OAuth Authentication

We support authentication through third-party OAuth providers (Google, Apple, etc.). Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of these third-party services.

Payment Processors

Payments are processed through third-party payment processors. We do not store your full credit card information. Payment processing is subject to the terms and privacy policies of the payment processor.

Integrations

The Service may contain links to third-party web sites or services that are not owned or controlled by Wageasy LLC. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third party web sites or services.

Termination

Termination by You

You may terminate your account at any time by:

Termination by Us

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Effect of Termination

Upon termination:

  • Your right to use the Service will cease immediately
  • All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity and limitations of liability
  • We will delete your data in accordance with our Privacy Policy

Limitation of Liability

IN NO EVENT SHALL WAGEASY LLC, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use or alteration of your transmissions or content

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE LAST TWELVE (12) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR COURSE OF PERFORMANCE.

WAGEASY LLC, ITS SUBSIDIARIES, AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT:

  • The Service will function uninterrupted, secure or available at any particular time or location
  • Any errors or defects will be corrected
  • The Service is free of viruses or other harmful components
  • The results of using the Service will meet your requirements

Indemnification

You agree to defend, indemnify and hold harmless Wageasy LLC and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of:

  • Your use and access of the Service
  • Your violation of any term of these Terms
  • Your violation of any third party right, including without limitation any copyright, property, or privacy right
  • Any claim that Your Content caused damage to a third party

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Dispute Resolution

Informal Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting us at support@wageasy.notchip.com.

Arbitration

Any disputes arising out of or related to these Terms or the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days’ notice prior to any new terms taking effect through:

  • Email notification
  • In-app notification
  • Notice on our website

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.
